1. Who we are
VendorLink is a business-to-business marketplace operated by Vendorlink MMC (“VendorLink”, “we”, “us”), registered in the Republic of Azerbaijan under taxpayer identification number [VÖEN], with its registered address at [REGISTERED ADDRESS], Baku, Azerbaijan. You can reach us at [CONTACT EMAIL].
These Terms of Use (“Terms”) govern your access to and use of the website vendorlink.az and any related services (together, the “Platform”). By creating an account or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
2. What the Platform does
VendorLink connects businesses that need goods or services (“Buyers”) with businesses that supply them (“Suppliers”). The Platform is being rolled out in two phases:
- Phase 1 — sourcing and requests. Buyers search listings and send requests for quotation (“RFQs”). Suppliers respond with offers. Any resulting contract, payment and delivery is agreed directly between the Buyer and the Supplier, outside the Platform.
- Phase 2 — transactions on the Platform. Orders, payments and commission will be processed through the Platform. Additional terms in the Returns, Refunds and Disputes Policy and the Supplier Agreement will apply to those orders.
We will tell you before Phase 2 features apply to your account. Until then, provisions in these Terms that refer to on-Platform payments do not apply to you.
3. Who may use the Platform
The Platform is intended for businesses and for individuals acting on behalf of a business. By registering you confirm that you are at least 18 years old, that you have authority to act for the business you register, and that the information you provide is accurate and kept up to date.
You are responsible for everything done through your account and for keeping your login credentials confidential. Tell us immediately at [CONTACT EMAIL] if you believe your account has been used without your permission.
4. Buyer responsibilities
- Describe your requirement honestly, including quantity, specification, location and timing, so that Suppliers can quote on a real need.
- Do not submit RFQs to harvest pricing you have no intention of acting on, to gather competitor intelligence, or on behalf of a business you do not represent.
- Treat supplier quotations, drawings and pricing as confidential business information unless the Supplier says otherwise.
- Carry out your own checks before entering into a contract. Verification by VendorLink is not a substitute for your own due diligence (see section 7).
5. Supplier responsibilities
Suppliers are additionally bound by the Supplier Agreement, the Supplier Verification Policy and the Acceptable Use and Prohibited Items Policy. In summary, a Supplier must list only goods and services it can actually supply, describe them accurately, hold any licence required to sell them, and honour quotations it issues for the period stated.
6. VendorLink is not a party to your contract
Unless we state otherwise in writing, VendorLink is not a seller, buyer, agent, broker, insurer or guarantor. The contract for goods or services is between the Buyer and the Supplier. We do not control and are not responsible for the quality, safety, legality, or availability of what is offered, the truth of listings, or the ability of either side to perform.
In Phase 2, where we process payment, we act as a technical payment facilitator between the parties; this does not make us a party to the underlying sale.
7. The “Verified” badge and its limits
A “Verified supplier” badge means only that we completed the checks described in the Supplier Verification Policy — essentially, that the business exists as a registered legal entity and that we reached a named contact at it. It is not a guarantee of product quality, solvency, delivery performance, or of the accuracy of any listing or quotation. You remain responsible for your own commercial checks.
8. Fees
Creating an account, browsing, sending RFQs and responding to them is currently free. In Phase 2 we intend to charge Suppliers a commission of [COMMISSION %] on orders concluded through the Platform, and may introduce optional paid plans. We will publish pricing and give at least [NOTICE PERIOD] days’ notice before fees start to apply to an existing account.
9. Prohibited use
You must not use the Platform in breach of the Acceptable Use and Prohibited Items Policy, in breach of applicable law, or to interfere with the Platform’s operation or security. We may remove content and suspend accounts under section 13.
10. Your content
You keep ownership of the content you upload (listings, company information, specifications, images). You grant VendorLink a non-exclusive, royalty-free licence to host, display, reproduce and distribute that content for the purpose of operating and promoting the Platform. You confirm you have the rights necessary to grant this licence and that your content does not infringe anyone else’s rights.
We may remove content that breaches these Terms, is unlawful, or is the subject of a credible complaint.
11. Availability
We aim to keep the Platform available, but we do not promise uninterrupted or error-free service. We may change, suspend or discontinue features, and carry out maintenance, with or without notice. The Platform is provided “as is” to the fullest extent permitted by law.
12. Liability
Nothing in these Terms excludes liability that cannot be excluded under the law of the Republic of Azerbaijan, including liability for death or personal injury caused by negligence, or for fraud.
Subject to that, VendorLink is not liable for loss of profit, loss of business, loss of contracts, loss of data, or any indirect or consequential loss; and our total liability to you for all claims arising in any 12-month period is limited to the greater of [LIABILITY CAP] AZN or the fees you paid us in that period. We are not liable for the acts, omissions, goods or services of any Buyer or Supplier.
13. Suspension and termination
You may close your account at any time. We may suspend or terminate access, remove listings, or withdraw a Verified badge if we reasonably believe you have breached these Terms or any policy referred to in them, if required by law, or to protect other users or the Platform. Where it is reasonable to do so, we will tell you why and give you an opportunity to respond.
14. Changes to these Terms
We may update these Terms. If a change materially affects your rights we will notify registered users by email or on-Platform notice at least [NOTICE PERIOD] days before it takes effect. Continued use after that date means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the law of the Republic of Azerbaijan. If a dispute arises between you and VendorLink, contact us first at [CONTACT EMAIL] — most issues are resolved this way. Otherwise the courts of the Republic of Azerbaijan have jurisdiction. Disputes between a Buyer and a Supplier are dealt with under the Returns, Refunds and Disputes Policy.
